If you specify to install in the same directory, it will overwrite the program. Your library (as long as it is not named sample.lib) and playlist will not be overwritten and are compatible.

A couple of things to note.

1) If you are upgrading a fairly recent version of CDJ, you only need to download the CDJ.ZIP file which contains CDJ.EXE.

2) If you want to keep a backup of the old version (always a good idea in case I've introduced a bug you can't live with in a new version), just rename the old CDJ.EXE something else before doing the installation.
